COVID-19 measures: Deadlines extended until 31 December 2020

The deadline for holding general meetings remotely and without physical presence has been extended by three months until 31 December 2020.

This measure was originally provided for by the Grand-Ducal Regulation of 20 March 2020 introducing measures concerning the holding of meetings in companies and other legal entities and was then extended by the Law of 20 June 2020 extending the measures concerning the holding of meetings in companies and other legal entities.
Therefore, to the extent that the effects of the Law of 20 June 2020 will subside by 30 September 2020, this draft law proposes to allow remote meetings of the decision-making bodies of companies and other legal entities concerned until 31 December 2020.

However, the deadline for filing annual financial statements completed on 31 December 2019 with the Commercial Register, established by the Act of 22 May 2020 extending the deadlines for filing and publishing annual financial statements, consolidated financial statements and related reports during the crisis, has remained unchanged: The filing must be made by 31 October 2020.
